About the role.
Reporting the Head of Governance (Group) the Senior Governance Manager is responsible for supporting the corporate governance programme, including providing operational secretarial support to the Head of Governance (Group), the Group Legal Director, TVG Board and its Committees. This will include helping to establish and maintain the highest standards of governance at all times and supporting the delivery of good customer outcomes through effective oversight.
They are also responsible for supporting the Head of Governance (Group) and the Group Legal Director in ensuring that TVG and all of its subsidiary companies complies with its financial and legal reporting requirements, providing support on all company secretarial matters, as well as ensuring TVG maintains high standards of corporate governance.
Key Responsibilities:
- Convene and provide administration support for Committee meetings, produce agendas, take minutes, convey decisions and handle meeting correspondence.
- Provide corporate governance and strategic advice during and outside of meetings, supporting the Head of Governance (Group), Chair, Directors and other members of the Board or Committees with discharging their duties.
- Keep up to date with key regulatory or statutory changes and policies that might affect the organisation, liaising with the Group Legal Team and Compliance & Risk Team in this regard.
- Ensure compliance with TVG’s Governance and Regulatory Reporting Control framework.
- Support with TVG’s Governance routines, including annual effectiveness reviews to ensure the Boards and Committees are fit for purpose and provide clearly accountable decision making and oversight, enabling the Chairs to implement enhancements.
- Support with the management of company secretarial and corporate governance matters with external professionals involved in company secretarial and corporate governance matters, such as external law firms and auditors.
- Support with the maintenance of all Corporate Governance frameworks and documentation, including company registers, managing Companies House, annual reports, financial statements, as well as contractual reporting requirements (such as with lenders or other investors).
- Support with the management of the electronic meeting system used to publish papers and information resources to Board Members and be responsible for ensuring appropriate electronic and paper records are kept of Board and Committee minutes, agenda papers and resolutions.
- Maintain relations with Chair of the Committees, supporting them, to ensure the Committees can discharge their responsibilities effectively.
About you
We are seeking an individual with Company Secretarial or Governance experience from the retail or similar sector with a general understanding of the key legal and regulatory environment.
We are also looking for the successful candidate to bring;
- Strong analytical skills with the ability to identify and critically evaluate the elements of risk in an organisation.
- Capable of striking the right balance between building relationships with key internal stakeholders whilst maintaining independence and being able to challenge key stakeholders effectively.
- Strong organisational skills, with an ability to manage task lists, and actions through to completion (including liaising with key stakeholders).
- A strong operational background outside the risk arena.
- Ability to ask the right questions of the right people to identify the Company’s hidden risks and weak points.
- Ability to support with shaping and developing a Corporate Governance agenda for the business with an appropriate level of sophistication.
- Ability to be a champion for Corporate Governance but will also have the ability to partner with the business in a commercially sensitive manner.
- A strong leader with the presence, intellect, accomplishment, and skill to quickly establish rapport and credibility at committee level and beyond.
- Ability to use their judgement effectively to identify which issues are important from those which are not.
